Welcome to Oculus Reviews. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Oculus Freight ("Oculus Freight," "we," "us," or "our") governing your access to and use of the Oculus Reviews platform, website, and related services (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT, SUBMITTING AN APPLICATION, POSTING A REVIEW, OR OTHERWISE USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 15. PLEASE READ THAT SECTION CAREFULLY.

1) Agreement to Terms

By accessing or using the Services, you confirm that you are at least 18 years of age. If you are using the Services in connection with operating a commercial motor vehicle (CMV) in interstate commerce, you confirm that you are at least 21 years of age, as required by federal regulations for holders of a Commercial Driver's License (CDL).

You represent that you have the legal capacity to enter into these Terms. If you are accessing the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2) Key Definitions

Throughout these Terms, the following definitions apply:

• "Driver" means any individual who creates an account to use the Services as a commercial motor vehicle driver, including CDL holders and applicants.
• "Company" means any motor carrier, freight broker, logistics company, or other business entity that creates an account to use the Services for hiring, reviewing, or managing driver relationships.
• "Review" means any rating, written evaluation, feedback, or other content submitted by a User about a Driver or Company through the Services.
• "Dossier" or "Driver Report" means the aggregated profile information about a Driver available to Companies through the Services, which may include reviews, ratings, and employment history submitted by other Users.
• "Shadow Profile" means a Driver profile that has been created on the Platform based on reviews or references submitted by Companies before the Driver has created an account.
• "Credit" means the unit of value used to access certain paid features of the Services, where one (1) Credit equals one U.S. Dollar ($1.00).
• "Content" means any text, images, documents, ratings, reviews, data, or other material submitted, posted, or transmitted through the Services.

3) Your Account

To access certain features of the Services, you must create an account. When creating your account, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated;
• Maintain the security and confidentiality of your login credentials;
• Accept responsibility for all activities that occur under your account;
• Immediately notify us of any unauthorized use of your account;
• Maintain only one account per individual or entity.

We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete, or if we reasonably believe your account has been compromised.

4) Shadow Profiles and Profile Claiming

You acknowledge and agree that a profile may exist for you on the Platform before you create an account. Companies that have employed or engaged you as a driver may submit reviews or other information about you, which may result in the creation of a Shadow Profile associated with your identity.

Shadow Profiles are created using identity verification signals (such as a hashed combination of your driver's license information and partial Social Security Number) to prevent duplicate profiles and ensure that reviews are attributed to the correct individual. We do not store your full Social Security Number for this purpose.

When you create an account and verify your identity, any existing Shadow Profile and its associated reviews may be linked to your account. By using the Services, you acknowledge that:

• Reviews about you may exist before you create an account;
• These reviews were submitted by Companies claiming a professional relationship with you;
• Upon claiming your profile, you will have access to these reviews and the ability to dispute any that are inaccurate;
• Oculus Freight does not independently verify the accuracy of reviews submitted by third parties prior to your claiming your profile.

5) User Content and Reviews

5a) Content License

You retain ownership of the Content you submit through the Services. However, by submitting Content, you grant Oculus Freight a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, display, distribute, and create derivative works from your Content in connection with operating and improving the Services.

5b) Content Standards

When submitting Reviews or other Content, you represent and warrant that:

• Your Content is based on your genuine, firsthand professional experience with the Driver or Company being reviewed;
• Your Content is truthful and accurate to the best of your knowledge;
• You have not been compensated or incentivized by any third party to submit the Content;
• Your Content does not contain false statements of fact about any individual or entity;
• Your Content does not include personal information of third parties without their consent (such as Social Security Numbers, home addresses, or personal phone numbers not related to business operations);
• Your Content does not contain threats, harassment, hate speech, obscenity, or discriminatory language.

5c) Review Visibility

Company Reviews (submitted by Drivers): These reviews are visible to all authenticated users and may be displayed publicly on Company profile pages.

Driver Reviews (submitted by Companies): These reviews have restricted visibility and are accessible only to authenticated Company users. Driver Reviews are not publicly displayed.

5d) Content Moderation and Disputes

Oculus Freight reserves the right, but has no obligation, to monitor, edit, or remove any Content that violates these Terms or that we determine, in our sole discretion, is harmful, misleading, or inappropriate.

If you believe a Review about you or your organization contains false or defamatory information, you may submit a dispute through the Platform. Disputes are typically reviewed within 2-5 business days. During the dispute review period, the contested Review may be temporarily hidden from public view. Oculus Freight's determination on disputes is final.

6) Platform Role

Oculus Reviews is a platform that hosts user-generated content. We do not create, endorse, verify, or guarantee the accuracy, completeness, or truthfulness of any Review, rating, Dossier, or other Content posted by Users.

Under Section 230 of the Communications Decency Act (47 U.S.C. § 230), Oculus Freight is not the publisher or speaker of any Content provided by Users. We provide tools for Users to share their professional experiences, and we are not liable for the Content posted by third-party Users.

We may, but are not obligated to, take good-faith actions to moderate Content, enforce our Content Standards, and remove Content that violates these Terms. Such moderation efforts do not make us the publisher of any User Content and do not waive any protections available to us under applicable law.

7) Driver Reports (Dossiers) and FCRA Compliance

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY.

Oculus Freight IS NOT a "consumer reporting agency" ("CRA") as defined by the Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq. ("FCRA"). The information available through the Services, including Driver Reports (Dossiers), ARE NOT "consumer reports" as defined by the FCRA.

Driver Reports aggregate reviews, ratings, and employment-related information submitted by other Users of the Platform. This information has not been independently verified by Oculus Freight and may not meet the accuracy, completeness, or currency standards required for consumer reports under the FCRA.

By accessing or using Driver Reports, you agree that:

• You will NOT use any information obtained through the Services as a "consumer report" for purposes of the FCRA;
• You will NOT use the information as the sole or primary basis for making any employment, credit, insurance, housing, or other decision about any individual;
• You will NOT take any "adverse action" (as defined by the FCRA) against any individual based solely on information obtained through the Services;
• If you choose to consider information from the Services in connection with any employment decision, you are solely responsible for ensuring your own compliance with the FCRA and all applicable federal, state, and local laws;
• You acknowledge that Oculus Freight has no obligation to follow FCRA procedures, including but not limited to providing notices, ensuring maximum possible accuracy, or maintaining dispute resolution procedures required of CRAs.

7a) Certification Requirement

Before accessing any Driver Report, you certify that:

• You will not use the information as a "consumer report" under the FCRA or for any FCRA-regulated purpose;
• You will not take any adverse employment action based solely on information obtained through the Services without independently verifying such information;
• You will comply with all applicable federal, state, and local laws regarding the use of employment-related information;
• You understand that violation of these certifications may result in immediate termination of your account and may expose you to legal liability.

Companies that access Driver Reports do so at their own risk and are solely responsible for their own legal compliance. Oculus Freight expressly disclaims any liability arising from a Company's use of Driver Reports in a manner that violates the FCRA or any other applicable law.

8) Driver Applications and Personal Information

When you submit a driver employment application through the Services, you consent to the collection and processing of the personal information requested in the application, which may include your Social Security Number, driver's license information, medical certification, employment history, accident and violation records, and other sensitive data.

You acknowledge that:

• Your application information will be shared with the Company to which you are applying;
• Certain identity verification data (such as a hash of your partial SSN and driver's license number) may be used to link your profile and prevent duplicates;
• Your full Social Security Number is collected for application purposes and transmitted to the prospective employer. We implement access controls and security measures to protect this data as described in our Privacy Policy;
• Signature data collected during the application process constitutes your electronic signature and has the same legal effect as a handwritten signature;
• The handling of your personal information is further described in our Privacy Policy.

8a) Data Breach Notification

In the event of a security incident that results in unauthorized access to your personal information, we will notify you in accordance with applicable federal and state breach notification laws. Notification will be made within the timeframes required by applicable law, and will include the nature of the breach, the types of information involved, and steps you can take to protect yourself. We maintain an incident response plan to address security incidents promptly.

9) Payments, Credits, and Refunds

Certain features of the Services require the purchase of Credits. One (1) Credit equals one U.S. Dollar ($1.00). Credits may be purchased through one-time payments or subscription plans.

• Credits are non-refundable and non-transferable;
• Unused Credits do not expire, but access to specific Driver Reports expires six (6) months after the unlock date;
• New accounts may receive complimentary trial unlocks, subject to availability;
• Subscription plans provide recurring Credit grants and may be canceled at any time, with cancellation effective at the end of the current billing period;
• All payments are processed through Stripe, Inc. We do not store your full credit card or bank account information.

10) Prohibited Conduct

You agree NOT to:

• Submit false, misleading, or fabricated Reviews or other Content;
• Submit Reviews about Drivers or Companies with which you have no genuine professional relationship;
• Manipulate ratings or reviews through fake accounts, coordinated campaigns, or paid incentives;
• Attempt to identify anonymous reviewers or de-anonymize any User;
• Scrape, crawl, or use automated means to access or collect data from the Services without our written consent;
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
• Use the Services to harass, threaten, stalk, or intimidate any individual;
• Submit false personal information, including fraudulent identity documents, in connection with any application or verification process;
• Circumvent or attempt to circumvent any access controls, rate limits, or security features of the Services;
• Use the Services for any purpose that violates applicable federal, state, or local laws, including but not limited to the FCRA, FMCSA regulations, anti-discrimination laws, or data protection laws;
• Abuse the dispute or moderation process by submitting frivolous or bad-faith disputes;
• Use the Services for unsolicited commercial solicitation or spam.

Violation of these prohibitions may result in immediate suspension or termination of your account, removal of your Content, and potential legal action.

11) Intellectual Property

The Services, including all software, design, text, graphics, logos, and trademarks (excluding User Content), are the property of Oculus Freight or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on any part of the Services without our express written permission. The license you grant us over your Content (as described in Section 5a) does not transfer ownership of your Content to us.

If you believe that any Content on the Services infringes your copyright, please contact us at support@oculusfreight.com with a DMCA takedown notice including: (a) identification of the copyrighted work, (b) identification of the infringing material, (c) your contact information, (d) a statement of good faith belief, and (e) a statement under penalty of perjury that you are the copyright owner or authorized to act on the owner's behalf.

12) Indemnification

You agree to indemnify, defend, and hold harmless Oculus Freight, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your access to or use of the Services;
• Your Content, including any Reviews you submit;
• Your violation of these Terms;
• Your violation of any applicable law or regulation;
• Your violation of any third-party rights, including intellectual property, privacy, or defamation claims;
• Your use of Driver Reports or any information obtained through the Services in a manner that violates the FCRA or any other applicable law.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OCULUS FREIGHT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, REPUTATION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF OCULUS FREIGHT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OCULUS FREIGHT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100.00), OR (B) THE TOTAL AMOUNT YOU HAVE ACTUALLY PAID TO OCULUS FREIGHT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

14) Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Oculus Freight does not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free;
• Any Reviews, ratings, Driver Reports, or other Content available through the Services are accurate, complete, reliable, current, or truthful;
• Any information obtained through the Services is suitable for any particular purpose, including employment decisions;
• The Services will meet your requirements or expectations;
• Any defects or errors in the Services will be corrected.

You acknowledge that the information available through the Services is submitted by third-party Users and has not been independently verified by Oculus Freight. You use the Services and rely on any Content at your own risk.

15) Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

15a) Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@oculusfreight.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days of receiving your notice.

15b) Binding Arbitration

If the dispute is not resolved informally within 30 days, you and Oculus Freight agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in the state of Oculus Freight's principal place of business, or at another mutually agreed location, or via telephone or video conference if permitted by the arbitrator.

15c) Class Action Waiver

YOU AND OCULUS FREIGHT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

15d) Exceptions

Notwithstanding the above, either party may: (a) bring an individual action in small claims court for disputes within the court's jurisdictional limits; or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

15e) Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@oculusfreight.com within thirty (30) days of first creating your account. Your opt-out notice must include your name, account information, and a clear statement that you wish to opt out of arbitration. If you opt out, the remainder of these Terms will continue to apply.

15f) Governing Law

These Terms and any disputes arising out of or related to the Services shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions. For any claims not subject to arbitration, you consent to the exclusive jurisdiction of the federal and state courts located in the State of Florida.

16) Termination

You may terminate your account at any time by contacting us at support@oculusfreight.com or through your account settings. We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms or for any other reason at our sole discretion.

Upon termination:

• Your right to access and use the Services will immediately cease;
• Unused Credits are non-refundable;
• Reviews you submitted may remain visible on the Platform (subject to our moderation policies);
• Your personal information will be handled in accordance with our Privacy Policy, including applicable retention requirements;
• Sections 5 (Content License), 6 (Platform Role), 7 (FCRA), 12 (Indemnification), 13 (Limitation of Liability), 14 (Disclaimer of Warranties), 15 (Dispute Resolution), and 18 (General Provisions) shall survive termination.

17) Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting a notice on the Platform, sending you an email, or through other reasonable means. The "Last Updated" date at the top of these Terms will be revised accordingly.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Services and terminate your account.

18) General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Oculus Freight regarding the Services.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
• Force Majeure: Oculus Freight shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, or failures of third-party service providers.
• Notices: All notices to Oculus Freight under these Terms should be sent to support@oculusfreight.com. We may provide notices to you through the email address associated with your account, through the Platform, or by other reasonable means.
